No. Prior to the minimum 10-year hold investment period, you can sell or will your shares. Shares may be sold back to the fund managers if liquidity is available, other shareholders if interested or other outside individuals. The shares are also able to be willed to someone. Your shares represent membership share ownership in a private company—U.S. Diversity Group Hotel Fund LLC. These common stock shares provide quarterly dividends of a 65% share in profits.
Because real estate is a long-term investment, we anticipate 1 year to build and 1 year to stabilize after opening to begin dividend distribution, which is a total of 2 years.

Previously, real estate development investment only happened through private equity in the development company, or by real estate investment trusts (REITs). Direct investment by individuals was rarely possible. Registering each property as a security, even with Regulation D filings, is inefficient. Additionally, real estate developers couldn’t actively market or solicit investments for their projects because of restrictions by the Securities and Exchange Commission (SEC). Fortunately, the JOBS (Jumpstart Our Business Startups) Act of 2012 modified some of these rules under Regulation D, so that more direct marketing and solicitation to non-accredited investors was allowed.
